Mr. Changfeng Tu brings the practice of law into the classroom

On Monday, the 4th December, students from Prof. Gao’s class „Chinese Contract Law and the United Nations Convention on Contracts for the International Sale of Goods (CISG)“ had their very first glimpse of a lawyer’s daily work routine. Mr Changfeng Tu from the international Hengeler Mueller law firm, that maintains an office in Shanghai, introduced the students to the practice of Mergers and Acquisitions (M&A).

Dr. Tu firstly outlined the general timeline of an M&A auction process and then continued to discuss a Non-dicslosure Agreement (NDA) that is mandatory to sign for every parties involved in a M&A deal.
    To give the students the possibility to get their hands right on the job, the classroom was split into two groups. One group were arguing for the sellers and the others were arguing for buyers.
A draft for a Non-disclosure Agreement was distributed to the students and they were allowed to discuss as a team, how they would amend the NDA in order to have a more favorable position in the transaction.
    At the end of the class Dr. Tu developed the amendments to the NDA with the students and explained to the students why certain amendments were necessary and essential for a successful NDA.
This session was the very first session with Dr. Tu. Three more sessions will be held, every Monday from 13:30 to 17:00 in the Zhonghe Building.
